Affiliate Agreement

This Affiliate Agreement applies when you join the Impact AI Inc partner program and receive a referral link. It is between you (the "Partner") and Impact AI Inc. The Terms of Service and Acceptable Use Policy also apply to you as an account holder.

• Someone who visits our site through your link is attributed to you for 60 days.
• Attribution becomes permanent when that person creates an Impact AI Inc account.
• First link wins: if a person arrived through another partner's link first and is already attributed, that attribution stands.
• You cannot refer yourself, an account you control, or a business you own. Self-referrals are void.

• You earn 50% of the revenue we actually collect from a customer you referred.
• Your lifetime maximum per referred customer is $500.00. Once reached, no further commission accrues for that customer.
• Each commission is held for 30 days after the payment clears. After the hold it becomes payable.
• Refunded, reversed, charged-back or discounted amounts earn no commission. If a payment is refunded, the related commission is cancelled.
• Taxes, payment-processing fees and amounts we never collect are not commissionable.

Commission is calculated on amounts received, not amounts invoiced. Your dashboard shows held and payable balances in real time.

Payouts are made manually to the method recorded on your partner account once you have a payable balance. Keep your payout details accurate — we are not responsible for funds sent to details you supplied incorrectly. You are an independent party, not our employee, agent or partner in the legal sense, and you are responsible for your own taxes. We may require tax documentation before paying you where the law requires it.

You may share your link honestly: your own site, newsletter, social accounts, client work, communities where promotion is welcome.

You may not:

• Bid on "Impact AI Inc", our brand names or close variants in paid search, or run ads that appear to come from us.
• Register domains, app names or social handles that could be mistaken for ours.
• Send spam, unsolicited bulk email, or messages to lists you did not build with consent.
• Make claims about performance, pricing or features that we have not published.
• Offer unauthorised cash-back, coupon-site placement, or incentives we have not approved in writing.
• Use cookie stuffing, forced clicks, typosquatting, browser extensions, or any automated traffic.

You may use our name and logo only to link to us, unchanged, and in a way that does not suggest we endorse your other products.

Either side can end this arrangement at any time. We may pause or remove a partner for breaking this agreement, for fraudulent or misleading activity, or for traffic we cannot verify. If we end your participation for cause, unpaid commissions connected to that activity may be forfeited. Otherwise, commissions already earned and past the hold period are still paid out.

We may change commission rates, the cap, the hold period or program rules going forward. We will publish the change and raise the version of this agreement; commissions already accrued keep the terms in force when they were earned.

This agreement is governed by the laws of the State of Tennessee, United States, with disputes heard in the state and federal courts located in Tennessee. Questions about the program: legal@impactaiinc.com.
